You may use Sync My Studio only if:

• You are at least 18 years old, or the minimum legal age required to enter into a binding contract in your jurisdiction.
• You have the legal authority to enter into these Terms.
• The information you provide during registration is accurate and complete.
• You will use the Services in compliance with applicable laws and regulations.

If you are using Sync My Studio on behalf of a company, studio, organization, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.

Certain features require you to create a Sync My Studio account.

You are responsible for:

• Providing accurate registration information.
• Keeping your account information up to date.
• Maintaining the confidentiality of your login credentials.
• Protecting access to your account.
• Controlling who has access to your account.
• All activity performed through your account.

You must notify Sync My Studio promptly if you believe your account has been accessed without authorization.

Sync My Studio is not responsible for losses resulting from unauthorized access caused by your failure to protect your account credentials or access information.

Sync My Studio provides software and tools that may help photographers, videographers, studios, and creative businesses manage their operations.

Depending on your plan and the features available at the time, the Services may include:

• Studio dashboard
• CRM and lead management
• Client management
• Booking and scheduling
• Google Calendar integration
• Project management
• Client portals and galleries
• Final gallery delivery
• Media and file management
• Team management
• Internal communication
• Invoicing
• Finance and expense management
• Checklists and workflows
• Questionnaires
• Agreements
• Music library
• AI-powered features
• Face matching or image search functionality
• Website and booking tools
• Reputation management
• Social media-related tools
• Reporting and analytics
• Other features introduced by Sync My Studio

Features may differ depending on your subscription plan, account type, region, or availability.

Sync My Studio continuously develops and improves the Services.

We may:

• Add new features.
• Modify existing features.
• Improve or change the user interface.
• Remove features.
• Replace features.
• Change technical requirements.
• Introduce new plans or pricing.
• Restrict certain features to specific plans.

Where reasonably practical, we may provide notice of material changes.

We do not guarantee that every feature will remain available indefinitely.

Sync My Studio may offer free trials, free plans, promotional access, or paid subscriptions.

The features, storage limits, user limits, and other restrictions applicable to your account will depend on the plan associated with your account.

Promotional offers may have separate eligibility requirements, limitations, and expiration dates.

Sync My Studio reserves the right to modify or discontinue promotional offers.

Certain Services require payment of subscription fees.

Depending on the plan selected, subscriptions may be billed:

• Monthly
• Annually
• Or according to another billing period displayed at the time of purchase.

The applicable price will be displayed before you complete your purchase.

Prices may change from time to time.

If a price change affects an existing subscription, we will provide notice where required by applicable law. Unless otherwise stated, a new price will generally apply to a future renewal period rather than a billing period that has already been paid.

Payments may be processed through third-party payment providers, including Razorpay or other authorized payment processors.

By subscribing to a paid plan, you authorize Sync My Studio or its authorized payment provider to charge the applicable subscription fees according to the billing terms presented at the time of purchase.

You are responsible for providing valid payment information and ensuring that sufficient funds or credit are available for applicable charges.

If a payment fails, Sync My Studio may:

• Retry the payment.
• Restrict paid features.
• Suspend the account.
• Cancel the subscription.

Unless otherwise required by applicable law or expressly stated in a promotional or subscription offer, payments for Sync My Studio subscriptions are non-refundable.

This may include:

• Subscription fees.
• Renewal fees.
• Setup or service fees.
• Charges for partial billing periods.

Unused time remaining in a billing period does not automatically create a right to a refund.

You may cancel your subscription according to the cancellation functionality available in your account or by contacting Sync My Studio.

Cancellation generally prevents future renewal but does not automatically reverse charges already incurred.

Nothing in this section limits any mandatory consumer rights that cannot legally be excluded under applicable law.

Users may upload or create content through Sync My Studio, including:

• Photographs
• Videos
• Audio files
• Documents
• Client information
• Project information
• Creative assets
• Gallery content
• Business information
• Communications
• Other materials

You retain ownership of your User Content.

Sync My Studio does not claim ownership of your User Content.

By uploading or submitting User Content, you grant Sync My Studio a limited, non-exclusive, worldwide license to host, store, process, transmit, reproduce, display, organize, and otherwise handle that content only as reasonably necessary to provide, maintain, secure, and improve the Services you use.

This license does not transfer ownership of your User Content to Sync My Studio.

You are responsible for the content uploaded, stored, transmitted, or otherwise processed through your account.

You represent and warrant that you have all necessary rights, permissions, licenses, and consents required to use and process the content you upload.

You must not upload content that:

• Violates applicable law.
• Infringes copyright or other intellectual property rights.
• Violates another person's privacy rights.
• Contains unlawful personal information.
• Contains malicious software.
• Contains content that you do not have permission to process.

Sync My Studio does not determine whether you have obtained the necessary rights or permissions for content uploaded to your account.

Sync My Studio allows businesses to manage information about their own clients, customers, employees, contractors, and other individuals.

If you upload or process information about another person, you are responsible for ensuring that:

• You have an appropriate legal basis or authorization to process that information.
• You provide any notices required by applicable law.
• You obtain any required consent.
• Your use of the information complies with applicable privacy laws.

Sync My Studio may provide an optional integration with Google Calendar.

The Google Calendar integration may allow users to:

• Check availability.
• Detect potential scheduling conflicts.
• Help prevent double bookings.
• Create booking-related calendar events.
• Update booking-related calendar events.
• Remove applicable booking-related events.
• Generate or attach Google Meet information where supported and authorized.

Google Calendar integration is optional.

If you choose to connect your Google Calendar account, you authorize Sync My Studio to access the Google Calendar permissions displayed during Google's authorization process.

You can disconnect the integration or revoke authorization through the applicable Sync My Studio or Google account controls.

When connecting a Google service, you will be shown the permissions requested by Sync My Studio through Google's authorization process.

You are responsible for reviewing the permissions before granting authorization.

Sync My Studio does not require you to connect Google Calendar in order to use the portions of the Services that do not depend on the integration.

The handling of information obtained through Google APIs is described in our Privacy Policy and is subject to applicable Google policies.

Sync My Studio may integrate with or rely upon third-party services, including services for:

• Cloud storage
• Content delivery
• Hosting
• Payments
• Authentication
• Calendar integrations
• Email
• Analytics
• Security
• Communications
• Other infrastructure services

Examples may include Google, Backblaze, Cloudflare, Razorpay, and other providers used by Sync My Studio from time to time.

Your use of a third-party service may also be subject to that provider's separate terms and policies.

Sync My Studio is not responsible for third-party services that are outside our reasonable control.

Third-party services may experience:

• Downtime
• Maintenance
• API changes
• Service interruptions
• Security incidents
• Rate limits
• Changes in functionality
• Changes in pricing
• Changes in availability

Such events may temporarily affect functionality within Sync My Studio.

Where a third-party service is required for a specific feature, Sync My Studio cannot guarantee that the feature will always remain available.

Sync My Studio provides file storage and file-management functionality as part of certain Services.

However, Sync My Studio is not a substitute for maintaining your own independent backups.

You are responsible for maintaining copies of important files.

Deleted files may be permanently removed from active systems and may not be recoverable.

Sync My Studio does not guarantee recovery of:

• Deleted files
• Corrupted files
• Damaged files
• Inaccessible files
• Lost files
• Files affected by third-party infrastructure failures

Where backup or recovery functionality is specifically offered as part of a plan, its availability and limitations will be governed by the applicable plan terms.

Account owners and administrators may invite employees, freelancers, contractors, or other authorized users to access their Sync My Studio account.

The account owner is responsible for:

• Assigning appropriate permissions.
• Removing access when necessary.
• Managing authorized users.
• Monitoring account activity.
• Ensuring that team members comply with applicable laws and these Terms.

Sync My Studio is not responsible for actions performed by users who were authorized by the account owner or administrator.

You agree not to use Sync My Studio to:

• Violate applicable laws or regulations.
• Infringe intellectual property rights.
• Violate another person's privacy rights.
• Upload malware, ransomware, viruses, or malicious code.
• Attempt unauthorized access to the Services.
• Circumvent authentication or security controls.
• Probe, scan, or test the security of the Services without authorization.
• Interfere with the operation of the Services.
• Conduct fraudulent activity.
• Distribute spam or malicious communications.
• Abuse APIs or technical infrastructure.
• Reverse engineer the Services except where expressly permitted by applicable law.
• Copy or reproduce proprietary platform functionality without authorization.
• Use the Services to facilitate unlawful activity.

We may investigate suspected violations and take appropriate action.

The Sync My Studio platform and its underlying technology are owned by or licensed to Sync My Studio.

This includes, where applicable:

• Software
• Source code
• Platform architecture
• User interface designs
• Logos
• Branding
• Trademarks
• Documentation
• Proprietary workflows
• Databases
• Platform-generated materials
• Other proprietary technology

Except where expressly permitted by these Terms or applicable law, you may not copy, modify, reproduce, distribute, sell, lease, license, reverse engineer, decompile, create derivative works from, or attempt to obtain source code from the Sync My Studio platform or its proprietary components.

Sync My Studio may provide AI-powered features.

AI functionality may be used to provide features requested by users, including analysis, organization, search, matching, generation, or other platform functionality.

AI-generated or AI-assisted results may contain errors or inaccuracies.

You are responsible for reviewing AI-generated results before relying on them for important business, legal, financial, client, or operational decisions.

Sync My Studio does not guarantee that AI-generated results will always be accurate, complete, or suitable for a particular purpose.

Certain Sync My Studio features may use AI-based face matching, image analysis, or related functionality.

These features may process images or relevant facial information to provide functionality requested by the user.

Users are responsible for ensuring that they have the appropriate rights, permissions, and consents required to upload or process photographs or facial information relating to other individuals.

Sync My Studio does not guarantee that face-matching results will always be accurate.

Users should independently verify important results.

Additional information about the processing of personal and facial information is provided in our Privacy Policy.

By creating an account, you may receive service-related communications, including:

• Account notifications
• Security notifications
• Product updates
• Important service announcements
• Billing communications

Where permitted by law, Sync My Studio may also send:

• Marketing emails
• Product announcements
• Promotional offers
• Newsletters

You may opt out of promotional communications at any time.

Opting out of marketing communications will not prevent us from sending necessary operational, security, account, or transactional communications.

Sync My Studio may restrict, suspend, or terminate access to an account where reasonably necessary because of:

• Non-payment.
• Material violation of these Terms.
• Fraudulent activity.
• Illegal activity.
• Security threats.
• Abuse of the Services.
• Copyright infringement.
• Malicious activity.
• Unauthorized access attempts.
• Conduct that creates a significant risk to Sync My Studio, its users, or third parties.

Where reasonably practicable, we may provide notice and an opportunity to address the issue before termination.

However, immediate action may be taken when necessary to protect the Services, users, or third parties.

After termination or cancellation, your access to certain Services may cease.

Unless otherwise required by law or specifically agreed, Sync My Studio does not guarantee continued access to your account or User Content after termination.

Users are responsible for exporting or downloading information they wish to retain before termination where such export functionality is available.

Information may be retained where necessary for:

• Legal compliance
• Security
• Fraud prevention
• Dispute resolution
• Enforcement of agreements
• Legitimate business purposes

Data retention and deletion are further described in our Privacy Policy.

We work to keep Sync My Studio available and operational, but we do not guarantee that the Services will always be:

• Available
• Uninterrupted
• Error-free
• Secure
• Free from defects
• Free from temporary outages

The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, security incidents, internet failures, infrastructure failures, or circumstances beyond our reasonable control.

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the extent permitted by law, Sync My Studio disclaims warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability
• Availability

Nothing in these Terms excludes any warranty or consumer right that cannot legally be excluded under applicable law.

To the maximum extent permitted by applicable law, Sync My Studio will not be liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of the Services.

This may include losses relating to:

• Lost profits
• Lost revenue
• Business interruption
• Lost opportunities
• Loss of goodwill
• Loss or corruption of data
• Third-party service interruptions
• Unauthorized access resulting from compromised user credentials

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

To the extent permitted by applicable law, you agree to defend and indemnify Sync My Studio and its owners, employees, contractors, representatives, and service providers against claims, losses, damages, liabilities, and reasonable expenses arising from:

• Your User Content.
• Your misuse of the Services.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another person's intellectual property or privacy rights.
• Your unauthorized use of third-party data or services.

Sync My Studio will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

• Natural disasters
• Floods
• Fires
• Earthquakes
• Government actions
• Internet outages
• Power failures
• Cybersecurity incidents
• Infrastructure failures
• Third-party service failures
• Labor disputes
• Telecommunications failures
• Other events beyond our reasonable control

Your use of Sync My Studio is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, protect, and share personal information and information obtained through integrations such as Google APIs.

The Privacy Policy forms part of the overall terms governing your use of the Services with respect to privacy and data processing.

Sync My Studio may update these Terms from time to time.

When changes are made, we may update the "Last Updated" date and provide additional notice where required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with material changes, you should stop using the Services and cancel your account where applicable.

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights available under applicable law, disputes arising from or relating to these Terms or the Services shall be subject to the jurisdiction of the courts having jurisdiction over Zirakpur/Chandigarh, India.

Before commencing formal legal proceedings, the parties should attempt in good faith to resolve the dispute through direct communication.

Nothing in this section prevents a party from seeking urgent legal or equitable relief where necessary.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted to the maximum extent permitted by law, and the remaining provisions will continue in effect.

A failure by Sync My Studio to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

These Terms, together with the applicable Privacy Policy and any additional terms expressly applicable to specific Services or subscription plans, constitute the agreement between you and Sync My Studio regarding your use of the Services.
